Humanoid robot developer Agility Robotics won shareholder approval for its merger with SPAC Churchill Capital Corp XI, paving the way for its Nasdaq debut.

More than 84% of shareholders backed the deal at a special meeting on Nov 2. The transaction is scheduled to close on Nov 4, with trading under ticker AGLT starting on Nov 5. Churchill’s shares rose nearly 14% on Nov 2.

The merger is expected to provide gross proceeds of about $465 million, down from the $620 million forecast when the deal was announced in June. The original transaction valued Agility at $2.5 billion pre-money; existing Agility shareholders will roll their equity into the combined company rather than receive cash. The proceeds comprise about $164 million from Churchill’s trust account, $201 million from a Foxconn-led PIPE financing and $100 million in equity funding Agility received after the initial SPAC announcement.

Agility’s Digit robots already operate in nine customer environments, mainly in logistics and manufacturing. Its partnership with GXO Logistics is expanding to two additional U.S. facilities, with deployments expected in early 2027 using Digit 4 and plans to transition to Digit 5. Agricultural equipment maker AGCO will also pilot Digit at its Hesston, Kan., plant from 2027 for sorting and stacking parts and placing totes.

Agility says it has more than $300 million in committed multi-year orders for Digit 5, unveiled in September. It cautions that the figure is not current revenue and remains subject to contractual milestones and product specifications. Early customer access is expected in the first half of 2027, with general availability targeted for the end of that year.

Its RoboFab facility in Salem, Ore., is designed for annual production capacity of up to 10,000 robots. Agility is also expanding software and fleet-management services through its Agility Arc platform.
